Albert Connect Terms of Use
Last updated: 19 October 2026. Version 3.3.
In short, before the detail
You are about to read the full Terms of Use of Albert Connect, and you should. Ten sentences first, because these are the ones that will decide whether you and Albert fall out.
Albert Connect is a professional marketplace, not a club. It is where accepted service professionals post what they need for a client, answer what colleagues have posted, and are paid. Albert Club, the members' club for private clients, is a different product with its own terms. These Terms govern Albert Connect only.
A deal that starts on Albert Connect finishes on Albert Connect. However long it takes, whatever shape it ends up in. If you arrange it elsewhere to avoid the commission, you have broken these Terms.
What goes on the board is the need, never the client. A listing carries the type of service, the dates, the budget or the price, and when it expires. Names, contact details, documents and anything that identifies a client stay out of it.
Albert collects for you, holds until delivery, then pays you. Payments run through a licensed payment provider into Albert's account, where Albert holds them on your behalf until the service is delivered and the holding period has passed, then pays you what is yours, less its commission. Once your payout has been sent, a payment can no longer be refunded through Albert.
What you see here stays here. The briefs, the prices, and above all who our members and your colleagues' clients are. No forwarding, no screenshots, no telling anybody that somebody is a member. Section 13 is a non-disclosure agreement, and it binds you for five years after you leave, and without limit of time on who our members and their clients are.
We check. Every listing, offer, message and payment on Albert Connect is recorded. Messages are screened for attempts to take a deal off the platform, and we can ask you for the invoice behind a deal we think left it.
Your account is yours alone. One person, one account, a real photograph, a card kept true. You cannot answer a brief, make an offer or write to a colleague until your card is complete.
Points, referrals and levels are a courtesy, not a currency. They can be withdrawn where they were earned on a deal that was cancelled, reversed or faked.
And if you go around us, you lose your place, and you still owe us. Your account closes, and with it the board, the deals in progress and anything reserved for your organisation. The commission on a deal that began here is a debt: it does not disappear because the deal did. Albert reserves the right to claim it before the competent courts and authorities, wherever you are, and not doing so once is not giving it up.
Where what you did also breaks the rules of a professional organisation you belong to, we may put the facts in front of it. What that organisation then does is entirely its own affair; Albert has no say in it and claims none.
None of the above replaces what follows. It is here so that nobody can say they did not know.
---
1. Who we are, and what these Terms cover
1.1 The operator. Albert Connect is operated by Albert Connect Company, a corporation incorporated in the State of Delaware, United States, file number 10768163, with its registered office at 131 Continental Dr, Suite 305, Newark, Delaware 19713, United States ("Albert", "we", "us"). You can reach us at contact@albert-conciergerie.com and from the help button inside the product.
1.2 What Albert Connect is. Albert Connect is a closed marketplace, available as a mobile application and at market.albert-connect.com, where accepted professionals of the service industry (concierges, travel designers, agents, suppliers of goods and services to private clients, and the organisations they belong to) post what they need for a client, answer what others have posted, agree terms, deliver, and are paid through the platform. Everything on it, the board, the offers, the messages, the directory, the ranking, the points, the payment links and the invoices, is "the Service".
1.3 What Albert Connect is not. Albert Connect is not Albert Club. Albert Club is a private members' club through which private clients ask a concierge for things. Its members are not parties to these Terms, and these Terms do not govern anybody's membership of the club. Where a request from a club member is routed to you on Albert Connect (a "Club request"), your conduct on that request is governed by these Terms and the member's relationship with the club is governed by the club's own terms.
Albert introduces. Albert does not perform the service, does not supply the goods, does not set your prices and does not employ you. You are an independent professional. Nothing here creates employment, agency, partnership, franchise or a joint venture between us, and you must not present yourself as an employee or a representative of Albert.
Albert is not a financial institution. Albert is not a bank and does not take deposits. Payments are processed by a licensed payment provider. Albert collects the price of a deal only as the agent of the partner who is paid, holds it only until that deal is delivered, and pays it out only to that partner, as section 9 sets out.
1.4 These Terms. These Terms of Use are a binding agreement between you and Albert. They replace the Partner Agreement in every earlier version. By creating an account, by accepting them in the product, or by using the Service after they take effect, you agree to them. If you use the Service on behalf of an organisation, you confirm you are authorised to bind it, and "you" means both you and the organisation.
2. Who may use Albert Connect
2.1 Professionals only. Albert Connect is for people who work in the service industry in a professional capacity, and for the organisations they belong to. It is not for private individuals looking to buy for themselves, and it is not a consumer service. You confirm that you use it for business and not as a consumer.
2.2 Age and capacity. You must be at least eighteen years old and legally able to enter a contract where you live.
2.3 By decision, not by right. Access is granted by our decision on your application, and may be refused without reasons. Being accepted once does not entitle you to remain: section 17 says when access can end. We may ask you at any time for proof of what you told us at application, including your identity, your city, the licences you hold and the organisation you belong to.
2.4 One person, one account. Your account is personal. You must not share your credentials, let anybody else act under your account, hold more than one account, or use an account that was made for somebody else. An organisation whose members each need access asks for an account per person.
2.5 Your card. Your card is what colleagues read before handing you work: a real photograph of your face, your city, the languages you speak, a few words, and what you can obtain. Everything on it must be true when you say it and kept true afterwards. A card without a real face is not complete. Until your card is complete, you may read the board but you may not answer a brief, make an offer, publish a listing, or write to a colleague; if you try, you will be invited to finish it.
2.6 Your details. The phone number and the email on your account are how we and your colleagues reach you. They are not on your card. You keep them current, and you change your sign-in email only through the flow in the product, which asks for a code at each address.
2.7 Staff and visitors. Parts of the Service are visible without an account, with everything that would identify a client or a colleague removed. A visitor may read; a visitor may not act. Albert's own staff use the Service to run it, and may act on any listing, deal or account for that purpose.
3. What you may do on Albert Connect
Subject to these Terms, you may:
- read the board, the closed deals, the ranking and the directory;
- post a brief for something you need for a client (a "demand listing"), and choose whether it goes to the whole board, to a professional organisation you belong to, or to one named colleague;
- post something you can supply (a "supply listing"), with its categories, its stock, its packages and its photographs;
- answer a listing with an offer, with a price, and with files if they help;
- agree terms with a colleague, deliver, confirm delivery, and rate each other;
- write to colleagues, in text, photographs, video and voice notes, and react to messages;
- take payment from your own client through a payment link or a QR code, where that feature is available to you;
- invite a colleague to join, and earn on what they bring for the period stated in the product;
- join a professional organisation on the platform where you hold its code, and keep a listing within it;
- set what alerts you, in which categories and cities, and how you are told;
- read figures in the currency of your choice and the menus in the language of your choice.
4. What you must not do
This list is long on purpose. Each item is a breach of these Terms on its own.
4.1 Going around the platform.
- Take off the platform, in whole or in part, a deal that began on it, or any business with a person first introduced to you through it, in the circumstances set out in section 8.
- Agree a price on the side, issue a second invoice, route a payment away from the provider named in section 9, or state on the platform anything other than the real value of what you earn on a deal.
- Ask a colleague, in a message or anywhere else, for their bank details, their phone, their email or a meeting in order to settle a deal outside the platform, or answer such a request. Messages are screened for this (section 15).
- Use the platform to find a colleague and then contract with them elsewhere for the same need.
4.2 The board and the listings.
- Put on a listing anything that identifies a client: a name, an address, a phone number, an email, a passport or booking number, a flight number, a photograph of a person, a document, or anything that would let a reader work out who the client is. A listing carries the need, the dates, the type of service, the budget or the price, and its expiry. Nothing else.
- Post a listing for something you do not need, cannot supply, do not intend to conclude, or that exists only to test the market, to collect colleagues' prices, or to draw colleagues into contact.
- Edit or rewrite a listing that is not yours, or present somebody else's listing as your own.
- Post the same need several times, post outside the categories the platform offers, or post in a category that does not describe the need.
- Take a listing that is reserved for a professional organisation outside that organisation, or share it with anybody outside it.
- Answer a demand listing with an offer that carries no price where a price is asked. You may decline a listing without stating an amount; you may not answer it with an empty offer.
- Post a listing, an offer, a file or a message that is unlawful, defamatory, obscene, discriminatory, or that infringes anybody's rights.
4.3 The goods and services themselves.
- Arrange through Albert Connect anything that is illegal where it is performed, delivered or paid, or that requires a licence, permit or registration you or the supplier do not hold.
- Arrange controlled substances, weapons, counterfeit goods, protected wildlife, stolen or undocumented goods, sexual services, gambling where it is unlawful, or anything involving a minor in a way the law does not allow.
- Arrange a transaction whose goods, services, funds, parties or destination would breach the sanctions and financial crime rules in section 10.
- Use the platform to launder money, to move money for a third party, to split a payment to avoid a check, or to pay for something other than what the deal says.
4.4 People.
- Reveal, publicly or to anybody outside Albert, that a person is a member of Albert Club or a partner on Albert Connect, or anything you learn about them here.
- Contact a member, a colleague's client, or a colleague's supplier outside the platform for anything that arose on it, or add them to your own client base, mailing list or CRM.
- Harass, threaten, deceive or discriminate against a colleague, a member or a client. Rate a colleague dishonestly, or ask for a rating in exchange for anything.
- Impersonate anybody, misstate your identity, your city, your organisation or what you can obtain, or use a photograph that is not of you.
- Send unsolicited commercial messages, chain messages or bulk messages, or use the messenger for anything other than the business of the platform.
4.5 The Service itself.
- Screenshot, photograph, film or record any screen showing a member, a listing, an offer, a price or a conversation (section 12).
- Extract, scrape, crawl, copy or otherwise build your own record of the platform's content, its members or its partners, by hand or by automation.
- Use bots, scripts or automation to post, answer, message, rate or claim; open or claim listings you do not intend to fulfil in order to lock others out; or manipulate the ranking, the points, the referrals or the availability signal.
- Interfere with the Service, probe or test its security, bypass any gate, limit, check or rate limit, reverse engineer any part of it, or use it to build a competing service.
- Resell, sublicense or share your access, or let a third party use the Service through you.
- Use the Albert name, marks or design, or say that Albert endorses you, other than by stating truthfully that you are a partner on Albert Connect.
5. Listings
5.1 What a listing carries. A listing states what is needed or what is offered, the category, the city or destination, the dates, the budget (for a demand) or the price and the packages (for a supply), any file that helps, and when it expires. The budget or the price is visible to every partner who can see the listing; a listing without a stated budget is only ever an illustrative one placed by Albert.
5.2 Confidential information stays out. Section 4.2 applies. The place for a client's name, contact details and documents is the conversation with the colleague you have agreed with, and only once you have agreed, and only what that colleague needs to deliver.
5.3 Who may edit. Only the owner of a listing may edit it, and only while it is open. Its photographs and files may be changed after publication. A listing that has been answered keeps its essential terms; if the need changes materially, close it and post again.
5.4 Where it goes. A listing goes to the whole board, or to one professional organisation you belong to and hold the code of, or to one named colleague. A listing kept within an organisation stays there, and the platform enforces it. A listing handed to one colleague is the same commercial act as putting it on the board, and these Terms apply to it in full.
5.5 Expiry. Every listing has a deadline: the date you set, or one month from posting. It comes off the board at that deadline and is removed a week later. A brief past its window can no longer be answered.
5.6 Stock and packages. A supply listing sells in the categories and packages you state, with the stock you state. Stock is counted from the offers you have agreed, never promised beyond what you hold. Refusing an offer gives the unit back.
5.7 Albert's own listings, and what we may do with yours. Albert may itself place briefs on the board, including illustrative ones that show how the board works, and may withdraw, edit for form, reclassify or remove any listing at any time. Albert may also announce a listing on its own channels, including social media, as a rewritten public headline that states the need, the city and the category and never quotes the brief, the budget, the poster or the client.
5.8 Translation. The menus of the Service are translated. Listings, offers and messages are never translated: what a colleague wrote is what you are agreeing to, and a translation of it would be a different promise.
6. Offers, agreement and delivery
6.1 An offer. An offer answers a listing with a price and, where the listing sells in packages, with the package chosen. It states the price of the service and, separately, what you earn on it. An offer with an attached file shows the file. An offer is sealed: you see yours, nobody else's.
6.2 Agreement. Terms are agreed when both partners have locked the same terms in the product. Until then there is no deal, and either side may withdraw. Once locked, the deal is recorded with its terms, its price, its shares and the moment of each lock, and those terms cannot be edited: a change is a new agreement.
6.3 Delivery and confirmation. The partner who delivers marks the deal delivered; the partner who received confirms it. Confirmation, or the passing of the period shown on the deal without a dispute, is what releases the money under section 9.3 and what awards the points under section 11.
6.4 Disputes. A partner who did not receive what was agreed opens a dispute in the product within the period shown on the deal. Albert reviews what both sides wrote and sent on the platform, may ask either side for more, and decides whether the conditions for release are met. Albert's decision governs the release of the funds it holds for the deal; it does not decide any claim between you and your colleague, which you remain free to pursue.
6.5 Cancellation. A deal may be cancelled by agreement of both partners, or by Albert where it was agreed in breach of these Terms. What a cancellation does to the money is set out in section 9; what it does to the points, in section 11.
6.6 Ratings. After a deal, each partner may rate the other. Ratings are honest, concern the deal, and cannot be traded.
6.7 You are the professional. You alone are responsible for what you deliver and what you supply: its quality, its legality, its safety, its insurance, its licences, and the contract with your own client. Albert is not a party to the sale between you and your colleague, or between you and your client, and gives no warranty on either.
7. Club requests
Where you have chosen to receive requests from members of Albert Club, a member's request may be routed to you, alone or together with other partners, and the first to accept takes it. A request accepted stays with the partner who accepted it. You answer what you accept, you deliver what you quoted, and the member's identity and everything you learn about them is covered by sections 13 and 14. The club may withdraw a request or reassign it. Albert may take you off the rota at any time.
8. The commission, and the rule that protects it
8.1 What Albert earns. Albert charges a commission on every transaction arranged through the platform, at the rate shown in the product when the deal is agreed, and a fee on payments taken through a payment link, at the rate shown when the link is made. Both are stated before you commit. The commission is taken at the moment the funds are released under section 9.3, out of the released sum.
8.2 The transaction itself, with no time limit. A transaction that began on Albert Connect belongs to Albert Connect for as long as it takes to complete, whatever route it then takes. If a brief was posted here, an offer made here, or an introduction made here, and the business is then concluded elsewhere, the commission is owed exactly as if it had been concluded here. There is no period after which this stops applying to that transaction.
8.3 Business with people you met through Albert. Separately, and for the period set out in 8.3.1, you must not take outside Albert Connect any business with a member of Albert Club, with a colleague's client, with a colleague's supplier, or with anybody first introduced to you through the platform, where that business is of a kind Albert Connect could have arranged.
8.3.1 The period. The parties intend this restriction to be enforced for the longest period a court will allow, and in no case longer than ten (10) years from the introduction.
8.4 What this does not stop. Section 8.3 does not touch a relationship you can show you had before the introduction, nor business of a kind Albert Connect does not arrange, nor anything you would have obtained without the platform. The burden of showing the prior relationship is yours, and contemporaneous documents are what we will look at.
8.5 Every deal is declared. A deal agreed on Albert Connect is priced on Albert Connect, invoiced through Albert Connect, and paid through the provider named in section 9. What you earn on it is stated in the product at its real value. A price agreed on the side, a second invoice, or a payment routed away from the platform is a breach of this section and of section 8.2.
8.6 When payment through the platform is unavailable. There may be periods during which payment through the provider is paused, and the product says so. During such a period a deal agreed on the platform may be settled between the two partners directly, through the conversation on the platform, and the commission on it remains owed to Albert exactly as if it had been collected at release. Albert will invoice it, and you will pay it within fourteen (14) days.
8.7 Audit. Where we have reasonable grounds to believe a deal has been taken off the platform, or settled for other than its declared value, we may ask you for the invoice and the proof of payment behind it. You must answer within fourteen (14) days. Refusing to answer is itself a breach.
9. Money
9.1 How payments are collected. Payments for a deal arranged on Albert Connect are processed by a licensed payment service provider engaged by Albert, currently Tazapay, as named in the product (the "Provider"). The payer pays into Albert's own account with the Provider. Albert does this for you as your agent, for one limited purpose: to collect the price of a deal you agreed on the platform, to hold it until the conditions for release in 9.3 are met, and to pay it out to you under 9.9 after deducting what these Terms allow. This is the collection on your behalf that you appoint Albert to carry out when you post a listing or agree a deal, and you appoint Albert for that purpose by accepting these Terms.
Payment to Albert is payment to you: once a payment for your deal has reached Albert's account with the Provider, the payer's obligation to pay you is discharged to that extent, and the payer bears no risk of Albert failing to pay it out to you. Albert records every payment against the deal it belongs to, and uses the funds collected for a deal only to pay you, to refund the payer under 9.6, and to take its commission and fees under 9.4.
Albert is not your bank and does not keep an account for you. Albert does not take deposits, does not pay interest, and does not hold money for any purpose other than the deal it was paid for.
9.2 Your company details and your bank details. Albert pays out only to a company or another legally registered business, in its own name, and never to an individual in a personal capacity. Before you can be paid you must give, in the product, your company's legal name, its registration, trade licence or tax identification number, its registered address, the email to which invoices should be sent, and the details of a bank account held in the company's own name. You must keep them accurate and current.
Albert relies on these details, as you gave them, to issue the invoices under 9.11 and to pay you under 9.9. Albert registers your company with the Provider as the recipient of your payouts and gives the Provider the details it needs for that purpose. The Provider does not verify you, your company or your activity on Albert's behalf, and its acceptance of your bank details is not a verification of you. Albert may check the details you give, may ask you at any time for documents that support them (such as a certificate of incorporation, a trade licence, a tax registration or a bank letter), and may hold a payout until it is satisfied. You are responsible for what you give: a payout sent to the account you gave is a payout to you, and a loss caused by details that are wrong, out of date or not your company's is yours.
A payer may pay for your deal before your details are complete. The payment is then held under 9.1 and your payout waits until they are.
9.3 When money is released. Albert releases the funds held for a deal and pays them out to you when all of the following are true: the receiving partner has confirmed the service or the goods were delivered, the holding period shown on the deal has elapsed, and no dispute under 6.4 and no refund request under 9.6 is open. Unless the deal shows otherwise, the holding period ends seventy-two (72) hours after the date of the service. The holding period is shown before you accept the deal. If the receiving partner does not confirm delivery within the period shown on the deal, and does not open a dispute, Albert may release the funds once that period has passed.
Where the payer paid by card or by another local payment method, the Provider keeps a rolling reserve on Albert's account, and Albert may accordingly keep back up to ten per cent (10%) of the sum due to you on that payment for up to forty-five (45) days from the payment. What is kept back is paid out to you when that period ends, unless 9.6 or 9.7 applies to it. The amount and the date are shown on the deal.
9.4 Albert's commission and fees. Albert calculates its commission, at the rate shown in the product when the deal is agreed (three per cent (3%) at the date of this version), and any platform fees, and deducts them from the funds held for the deal at the moment of release. Albert also calculates the sum paid out to you. The Provider's fee for sending a payout is deducted from the payout, and is borne by you: at the date of this version it is USD 5 for a local transfer and USD 35 for an international (SWIFT) transfer, and the fee that applies is shown before the payout is sent. The net amount is shown to you before you accept the deal.
9.5 Processing costs. The cost of processing a payment is carried by the party paying, added to the amount charged and shown before payment. The rates are stated in the product. The processing cost is not refunded, including where a payment is later refunded in whole or in part, a deal is cancelled, or a payment is disputed.
9.6 Refunds, disputes and chargebacks. A payment can be refunded only while Albert still holds it, that is before the payout for it has been sent to you. Once your payout has been sent, the payment can no longer be refunded through Albert, and any claim about it is between the payer and you. While the funds are held:
- you may refund the payer in full or in part from the product;
- the payer may ask for a refund in the product. The request freezes the payout for that payment until Albert decides. Albert reviews what both sides wrote and sent on the platform, may ask either side for more, and decides whether the held funds are refunded in full, in part, or released to you. Albert's decision governs the funds it holds; it does not decide any other claim between you and the payer, which each of you remains free to pursue;
- where delivery is disputed under 6.4, the funds stay held until the dispute is resolved.
A refund returns the amount paid less the processing cost under 9.5. Where a payment is reversed by the payer's bank or card scheme after you have been paid, the reversed amount, and any fee charged for it, is a debt you owe, and Albert may set it off against sums due to you on other deals.
9.7 Withholding. Albert may withhold a release or a payout where the deal is in dispute or a refund request is open, where we have reasonable grounds to suspect a breach of section 8, where your details under 9.2 are incomplete or in doubt, where a screening under section 10 requires it, or where the law obliges us to. Where we withhold, we will tell you why within seven (7) days unless the law forbids it, and we will not withhold for more than sixty (60) days unless we have by then either begun proceedings or been told by an authority to keep holding. Sums held remain yours unless a breach is established: withholding is a pause, not a forfeit, and it is not a fine. Closing your account does not extinguish money already earned on a delivered deal.
9.8 Charging your own clients through Albert. Where the product lets you take payment from your own client through a payment link or a QR code, the client pays you, not Albert. Albert collects that payment on your behalf, through the Provider, under 9.1, and the rest of this section 9 applies to it. Albert is not a party to the sale, does not warrant it, and takes only the fee shown. You are the seller: the contract, the delivery, the invoice, the tax and any refund are yours. You must not use a payment link to collect anything other than the price of a genuine service or good you supply to that client.
9.9 Payouts. What has been released to you is paid out by Albert, through the Provider, by bank transfer to the account registered under 9.2, in the currency shown, on the schedule shown in the product. Albert may pause or delay payouts while a check under 9.2, 9.7 or section 10 is pending.
9.10 Fees and currency. Fees, banking costs and currency conversion are as stated in the product at the moment you agree a deal. Where a payment is converted, the rate applied is the Provider's at the time of the conversion. Figures shown to you in a currency of your choice are shown for reading; a deal is agreed and paid in its own currency.
9.11 Tax and invoicing. Each party is responsible for its own taxes. You are responsible for charging, collecting and remitting any tax due on what you sell, and for your own registrations, and you give us the tax details the product asks for before you can be paid. Where the product issues an invoice in your name on your behalf (self-billing), it does so from the company details you gave under 9.2, you accept those invoices as your own, you agree not to issue a second invoice for the same supply, and you will tell us within thirty (30) days if one is wrong. Albert issues its own invoice for its commission and fees.
9.12 Every payout is documented. Albert sends each payout to the Provider with the records that show what it pays for: the invoices for the deal, and the records of your approval of it, including your acceptance of these Terms, the offer you accepted, and the payment and delivery records of the deal. You consent to Albert sharing those records, and the personal data they contain, with the Provider for that purpose, and with the Provider's banking partners where they ask for them.
10. Sanctions, financial crime, and who we cannot do business with
Albert is a United States company. United States sanctions law applies to it directly, and so do the sanctions and financial crime rules of the other countries in which it and the Provider operate.
You represent, each time you use the Service, that you are not a person designated on any sanctions list maintained by the United States Office of Foreign Assets Control, the United Nations, the European Union or the United Kingdom, that you are not owned or controlled to fifty per cent or more by such a person, that you are not located in or ordinarily resident in a comprehensively sanctioned territory, and that you are not acting for any of them.
You must not use Albert Connect to arrange a transaction whose goods, services, funds, parties or destination would breach those rules. Where goods are involved, that includes any restriction attaching to their nature, their value or where they are going.
We screen accounts and transactions against those lists and for signs of financial crime. Where a result requires it, we may suspend an account or hold funds, without notice and for as long as the law requires, and we may be prohibited from telling you why. We may report to the competent authorities where the law requires or permits it.
11. Points, levels, referrals and rewards
11.1 Points. Albert Connect awards points for things done on the platform: finishing your card, publishing, answering, agreeing, and above all delivering. Points on a deal are awarded when delivery is confirmed, not when the deal is agreed or paid, because a deal that is paid and then cancelled has not happened. The rates and the sources are stated in the product and may change for the future.
11.2 Levels. Levels are computed from points earned over time, at the thresholds stated in the product. A level and the rewards attached to it are a courtesy, may be changed or withdrawn for the future, and give no right to anything not stated in the product.
11.3 No cash value. Points and levels have no cash value, cannot be bought, sold, transferred or inherited, and are not a balance owed to you. Points earned on a deal that is cancelled, reversed, disputed and found against you, or found to be fake or agreed in breach of these Terms, are removed, and so is anything awarded on the strength of them.
11.4 Invite a friend. Where you invite a colleague who is accepted and trades, you earn a share of Albert's own fee on their deals, for the period and at the rate stated in the product at the time of the invitation, credited to your balance. The share is of Albert's fee only, never of your colleague's earnings. It stops if either account is closed for breach, and anything earned on a fake, self-referred or circular account is removed.
11.5 Ambassadors. Where Albert appoints you as an ambassador, the terms of that appointment are stated in the product and are in addition to these Terms.
12. Screenshots and recording
You must not screenshot, photograph, film or record any screen showing a member, a partner, a listing, an offer, a price or a conversation. This is absolute, and it does not depend on what you intended to do with the capture. The application blocks capture where the device allows it; where it does not, the rule stands.
13. Confidentiality (non-disclosure agreement)
This section is a non-disclosure agreement between you and Albert. You accept it with these Terms, and it binds you as a separate undertaking: it survives the end of your membership as set out in 13.9.
13.1 What is confidential. Confidential Information means any information you receive or see through Albert Connect, or from Albert, its team or another member in connection with it, that is not public: in particular the briefs, listings, offers, prices, commissions, volumes, closed deals and rankings; the identity, contact details, preferences and circumstances of members, of Albert Club members and of any member's clients or suppliers; the terms of any deal, including one that did not close; and Albert's own business, finances, technology, methods, plans and team. It covers information in any form: written, spoken, on screen, in a message, a document, an image or a recording.
13.2 What is not. Information is not confidential if you can show that it is or becomes public through no fault of yours, that you knew it lawfully before receiving it here, or that you received it lawfully from somebody free to disclose it.
13.3 Use. You may use Confidential Information only to deal on Albert Connect: to answer a brief, make or deliver an offer, and complete a deal on the platform. Any other use, for yourself or for anybody else, is forbidden.
13.4 Care. You must keep Confidential Information safe with at least the care you give your own most sensitive information, and never less than reasonable care. You must not share it outside Albert Connect, in any form, and must not forward, post, screenshot, record or copy it except as the product itself allows.
13.5 Members and clients. You must never reveal publicly, or to anybody outside Albert, that a person is a member of Albert Club, a member of Albert Connect or a client of a colleague, nor anything you learn about them here.
13.6 Who may know. You may share Confidential Information only with your own employees, contractors and professional advisers who need it for a deal on the platform and who are bound by obligations of confidentiality at least as strict as these. You remain responsible for them.
13.7 When the law requires. If a law, a court or an authority requires you to disclose Confidential Information, you may disclose only what is required, after telling Albert first where the law allows it, so that Albert can seek protection.
13.8 Colleagues, reserved listings and copying. What a colleague tells you in a conversation on the platform is told for the deal at hand. Where a listing is reserved for a professional organisation you belong to, it must not leave that circle. You must not extract, scrape, copy or otherwise build your own record of the platform's content, its members or its partners.
13.9 Duration. These obligations apply while you are a member and for five (5) years after your membership ends, however it ends. Section 13.5, and any information that identifies a member or a client, binds you without limit of time.
13.10 Return and deletion. When your membership ends, or when Albert asks, you must delete or return the Confidential Information you hold, except what the law requires you to keep, which remains confidential.
13.11 Remedies. A breach of this section causes harm that money alone may not repair. Albert may, in addition to any other remedy under these Terms, ask a court for urgent measures to stop or prevent a breach, without having to prove a loss first, and may suspend or close your account under sections 16 and 17.
14. Data protection
14.1 Your data. How Albert processes your personal data is set out in the Privacy Policy at albert-connect.com/privacy, which forms part of these Terms.
14.2 Data you receive. Data about a member, a client or a colleague reaches you for one purpose: the deal at hand. You process it only for that deal, only for as long as the deal needs, and only as the law where you operate allows. It does not enter your own client base, your mailing list or your CRM. When the deal is over, you keep only what your own law requires you to keep, and you keep it only for as long as that law requires.
14.3 Your own obligations. Where the law makes you a controller of that data, you are responsible for complying with it, including for informing the person and for answering their requests. You must tell us without delay, and in any case within twenty-four (24) hours, if data you received through Albert is lost, exposed or taken.
14.4 Where you are. Where the product asks for your location to show colleagues that you are nearby, it does so only while you have chosen to share it and only with the people the product says. You may stop at any time.
15. Monitoring and records
15.1 What is recorded. Every listing, offer, agreement, message, rating, payment, points movement and acceptance of these Terms on the platform is recorded with its time, and we keep those records for as long as we need them to run the Service, to enforce these Terms and to meet our legal obligations.
15.2 Screening. Messages between partners are screened, by automated means and where flagged by a person, for attempts to take a deal off the platform, to exchange payment details or contact details for that purpose, and for content that breaks these Terms. A flagged message may be held, and a flagged account may be reviewed.
15.3 Reports. You may report a listing, a message or a partner from inside the product. We review reports and act on them at our discretion. You may block a partner; a blocked partner cannot write to you.
15.4 What we may do. Where we find a breach, or reasonable grounds to suspect one, we may remove content, hold a payment under 9.7, remove points under 11.3, suspend or close an account under 17, and put the facts before a professional organisation under 16.4.
16. What happens if these Terms are broken
16.1 Agreed compensation. Where you take a transaction off the platform in breach of section 8, you owe Albert the commission it would have earned, together with the costs of establishing and recovering it.
16.2 Everything else. A breach of sections 4, 12, 13 or 14 entitles Albert to suspend or close your account immediately.
16.3 What Albert takes away first. Albert's immediate sanction is exclusion from the platform: the board, the deals in progress, the points, and anything reserved for your organisation.
16.4 Your professional organisation. A professional organisation whose members use Albert Connect may be told the facts of a breach. What it then does is its own affair.
16.5 Albert reserves the right to sue for what it is owed. The commission on a deal that began here is a debt. Albert may pursue it, together with the compensation under 16.1, its costs of recovery and interest, by every lawful means, before any competent court or authority, in the State of Delaware or in the country where you are established, at Albert's election.
16.6 Choosing one remedy does not give up the others. Closing your account does not extinguish the debt, and claiming the debt does not reopen the account.
16.7 Not enforcing is not giving up. If Albert does not act on a breach, acts late, or acts only in part, it keeps every right it has.
16.8 Injunctive relief. You accept that damages alone may not be an adequate remedy for a breach of sections 4, 8, 12, 13 or 14, and that Albert may seek an injunction.
16.9 Indemnity. You will indemnify Albert, its officers and its staff against any claim, loss, fine or cost arising from what you deliver or supply, from your breach of these Terms, or from your breach of any law, including the reasonable costs of dealing with the claim.
17. Suspension, termination and deletion
17.1 By you. You may stop using the Service at any time, and you may delete your account from inside the product. Deleting your account removes your card and your access; it does not remove the records in 15.1 that we are obliged to keep, the invoices already issued, or a debt already owed.
17.2 By Albert. Albert may suspend an account immediately where it suspects a breach, where your company or bank details under 9.2 prove untrue or cannot be used to pay you, where section 10 requires it, or where an account has been inactive for twelve (12) months. Albert may close an account for breach, or, on thirty (30) days' notice, for any reason.
17.3 Active membership. Albert Connect is a network with a limited number of places. A member who has not posted a listing, made an offer or closed a deal for six (6) consecutive months may be given thirty (30) days' notice by email. If the member is still inactive at the end of that notice, Albert may close the account and offer the place to another professional. Deals in progress are completed and any sum owed to the member is paid. A member whose account was closed for inactivity may apply again.
17.4 What survives. Sections 8, 9.6, 9.7, 9.11, 9.12, 11.3, 12, 13, 14, 15, 16, 19 and 20 survive the end of these Terms. Section 13.2 survives without limit of time.
18. The Service, and what we do not promise
18.1 Availability. We aim to keep the Service available at all times and we do not promise it. Parts of it may be paused, changed or withdrawn, including payment through the Provider, the rota of Club requests, points and rewards, and any feature. Where a change materially reduces what the Service does for you, we will tell you.
18.2 What we do not warrant. The Service is provided as it is. Albert does not warrant that a listing is genuine, that a colleague will perform, that a client will pay, that a price is right, or that any deal will close. Albert does not vet the goods and services arranged through it beyond what these Terms say, and gives no warranty on them.
18.3 Limitation of liability. To the fullest extent the law allows, Albert is not liable to you for loss of profit, loss of business, loss of a client, loss of data, or any indirect or consequential loss, whatever its cause. Albert's total liability to you under or in connection with these Terms in any twelve-month period is limited to the commission and fees Albert actually received on your deals in that period. Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for anything the law does not allow to be limited.
18.4 Third parties. The Provider, the app stores, the map and city services, the messaging and email services and the other providers the Service relies on are governed by their own terms, and Albert is not responsible for them.
18.5 Intellectual property. The Service, its design, its marks, its code and its content other than yours belong to Albert or its licensors. You receive a personal, non-exclusive, non-transferable, revocable licence to use the Service under these Terms, and nothing else. What you post remains yours; you grant Albert a worldwide, royalty-free licence to host, display, reproduce, adapt for form and, as set out in 5.7, announce it, for as long as it is on the platform and for as long afterwards as our records require. You confirm you hold the rights to what you post, including every photograph.
19. Changes to these Terms
We may change these Terms. Where a change materially affects your rights or your money, we will tell you at least thirty (30) days before it takes effect, and you will be asked to accept the new version in the product. If you do not accept it, you may leave under section 17; continuing to use Albert Connect after a version takes effect is acceptance of it. The version in force is the one published at albert-connect.com/terms, and each version is frozen when it is published.
20. Law and forum
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. The state and federal courts sitting in the State of Delaware have jurisdiction, save that Albert may bring proceedings to protect its confidential information, to restrain a breach of section 8, or to recover a debt under section 16, in any court having jurisdiction over you.
Where a mandatory rule of the country in which you habitually work gives you a protection these Terms cannot lawfully remove, that rule prevails to that extent and the rest of these Terms stands. If any part of these Terms is found unenforceable, it is reduced to the extent needed and the rest stands.
These Terms, with the Privacy Policy and the rates, periods and fees stated in the product, are the whole agreement between you and Albert about Albert Connect. They are written in English; a translation is for convenience and the English text governs.
21. How you accept, and what we keep
You accept by ticking the box presented to you in the product, having read to the end. You cannot act on Albert Connect until you have.
For each acceptance we record: your account, the exact version of this text you were shown and its fingerprint, the moment of acceptance on our clock, and the device, platform and locale you accepted from. That record is what we rely on if these Terms are ever in question, and you agree it is admissible evidence of your acceptance and that your tick constitutes your electronic signature.
